These Terms constitute a legally binding agreement between you ("Installer," "you," or "your") and Microgrid Broker ("we," "us," or "our").

Microgrid Broker operates as an intermediary connecting licensed electrical contractors with retail electric providers (REPs) and their customers for home battery backup system installations. Our services include:

Maintaining a network of qualified, certified installers

Coordinating brand-specific battery system training and certification

Matching installers with installation opportunities

Facilitating contracts between installers and REPs

Managing installer performance and quality standards

Providing administrative and support services

Eligibility and Registration

Eligibility Requirements

To register as an installer, you must:

Be at least 18 years of age

Hold a valid electrical contractor license in the State of Texas (or other applicable jurisdiction)

Maintain current general liability and workers' compensation insurance

Have the legal authority to enter into this agreement

Provide accurate and complete registration information

Comply with all applicable federal, state, and local laws and regulations

Free Registration: Registration on our Website is free of charge

Account Creation: You must create an account with accurate information

Verification: We reserve the right to verify your credentials, licenses, and insurance

Approval: Registration does not guarantee acceptance into our installer network

Account Security: You are responsible for maintaining the confidentiality of your account credentials

Account Suspension or Termination

We reserve the right to suspend or terminate your account at any time for:

Providing false or misleading information

Violation of these Terms

Poor performance or quality issues

Failure to maintain required licenses or insurance

Unprofessional conduct

Any reason at our sole discretion

Installer Obligations

Professional Standards

As a registered installer, you agree to:

Licensing: Maintain all required licenses, certifications, and insurance in good standing

Training: Complete all required brand-specific battery system training and certifications

Quality Work: Perform installations according to manufacturer specifications, building codes, and industry standards

Professionalism: Conduct yourself professionally when interacting with customers and partners

Timeliness: Complete installations within agreed-upon timeframes

Communication: Respond promptly to job assignments and communications

Documentation: Provide required documentation, photos, and completion reports

Warranty Support: Honor warranty obligations and provide post-installation support as required

Prohibited Conduct

You agree NOT to:

Misrepresent your qualifications, experience, or credentials

Perform substandard or unsafe work

Directly solicit customers obtained through Microgrid Broker for outside work

Circumvent Microgrid Broker to contract directly with REPs or customers

Share your account credentials with others

Engage in fraudulent or deceptive practices

Violate any applicable laws or regulations

Disparage Microgrid Broker, REPs, or other installers

Installation Contracts and Payments

Exclusive Installation Contracts

All installation contracts for participating REP programs are managed exclusively through Microgrid Broker

Installers may only receive job assignments through our platform

Direct contracting with REPs or customers for these specific programs without our involvement is prohibited

Job Assignment

Job assignments are at Microgrid Broker's sole discretion

We consider factors including: geographic location, availability, performance history, certifications, and capacity

Registration does not guarantee job assignments

You may accept or decline job offers

Compensation

Installation rates are determined by contract and communicated prior to job acceptance

Payment terms will be specified in individual job agreements

Payment is contingent upon successful completion and inspection of work

We may withhold payment for incomplete, defective, or non-compliant work

You are responsible for all taxes associated with your compensation

Independent Contractor Status

You are an independent contractor, not an employee of Microgrid Broker

You are responsible for your own taxes, insurance, equipment, and business expenses

You have no authority to bind Microgrid Broker in any agreement

This agreement does not create a partnership, joint venture, or employment relationship

Training and Certification

Required Training

Installers must complete brand-specific training for each battery system type

Training schedules and locations will be communicated through the platform

Certification must be maintained and renewed as required

Failure to complete required training may result in ineligibility for certain jobs

Training Costs

Training costs, if any, will be communicated in advance

Some training may be provided at no cost; others may require payment

You are responsible for travel expenses to training locations

Territory and Exclusivity

Service Areas

You will designate your service areas during registration

Service areas may be modified through your account settings

We do not guarantee exclusive territories

Multiple installers may service the same geographic areas

Limited Spots Per Area

We may limit the number of installers per geographic area

Acceptance is competitive and based on qualifications and timing

Intellectual Property

Microgrid Broker Property

All content on our Website, including logos, trademarks, text, graphics, and software, is owned by Microgrid Broker or its licensors and protected by intellectual property laws.

Limited License

We grant you a limited, non-exclusive, non-transferable license to access and use our Website for its intended purpose. You may not:

Copy, modify, or create derivative works

Reverse engineer or attempt to extract source code

Use automated systems to scrape or download content

Remove copyright or proprietary notices

Installer Materials

Any materials you submit (photos, reports, feedback) grant us a non-exclusive, worldwide, royalty-free license to use for business purposes.

Confidentiality

Confidential Information

You may receive confidential information including:

Customer information and contact details

REP program details and pricing

Proprietary business processes

Trade secrets and business strategies

You agree to:

Keep all confidential information strictly confidential

Not disclose to third parties without written permission

Use confidential information only for authorized purposes

Return or destroy confidential information upon request

Non-Solicitation

You agree not to:

Directly solicit customers obtained through Microgrid Broker

Recruit other installers away from our network

Use our platform to build competing business relationships

This non-solicitation provision survives termination of your account for 12 months.

Warranties and Disclaimers

Your Warranties

You warrant that:

You possess all necessary licenses, skills, and qualifications

Your work will comply with applicable codes and standards

You maintain adequate insurance coverage

You will perform work in a professional and workmanlike manner

Specific number of job assignments

Minimum income or revenue

Continuous availability of training or opportunities

Accuracy of information provided by third parties

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

MICROGRID BROKER SHALL NOT BE LIABLE FOR:

INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES

LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES

DAMAGES ARISING FROM YOUR USE OR INABILITY TO USE OUR SERVICES

DAMAGES EXCEEDING THE AMOUNT PAID TO YOU IN THE 12 MONTHS PRIOR TO THE CLAIM

SOME JURISDICTIONS DO NOT ALLOW LIMITATION OF LIABILITY, SO THESE LIMITATIONS MAY NOT APPLY TO YOU.

Indemnification

Dispute Resolution

These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles.

Arbitration Agreement

Any dispute arising from these Terms or your use of our services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except:

Claims in small claims court

Claims for injunctive relief

Claims related to intellectual property

Arbitration will take place in Texas. The arbitrator's decision is final and binding.

Class Action Waiver

You agree to bring claims only in your individual capacity and not as a class member or representative in any class or representative action.

Jury Trial Waiver

You and Microgrid Broker waive the right to trial by jury.

Insurance Requirements

You must maintain the following insurance coverage at all times:

General Liability Insurance: Minimum $1,000,000 per occurrence / $2,000,000 aggregate

Workers' Compensation Insurance: As required by state law

Auto Liability Insurance: If using vehicles for installations

Professional Liability Insurance: As may be required

You must provide proof of insurance upon request and name Microgrid Broker as an additional insured on general liability policies.

Compliance with Laws

You agree to comply with all applicable federal, state, and local laws, including:

Electrical codes and building regulations

Occupational safety and health regulations (OSHA)

Environmental regulations

Consumer protection laws

Tax laws and reporting requirements

Employment laws (for your own employees/subcontractors)

Background Checks

We reserve the right to conduct background checks, license verifications, and reference checks. By registering, you consent to such checks and authorize us to obtain information from licensing boards, courts, and other sources.

Modifications to Terms

We may modify these Terms at any time by:

Updating the "Last Updated" date

Providing notice via email (for material changes)

Continued use of our services after changes constitutes acceptance of the modified Terms. If you do not agree to changes, you must discontinue use and terminate your account.

General Provisions

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Microgrid Broker.

Severability

Assignment

No Third-Party Beneficiaries
